1. Agreement and Acceptance

These Terms and Conditions (“Terms”) govern your use of SmoothFile Tax Solutions LLC’s website, services, and any related client portals or scheduling tools (collectively, the “Services”). By using our website, submitting information, scheduling or receiving services, or otherwise interacting with SmoothFile, you agree to these Terms. If you do not agree, do not use our Services.

 

2. Services Provided

SmoothFile provides tax preparation, tax planning, consulting, and related services (“Tax Services”). We may use third‑party platforms (for example, TaxDome for intake and ProConnect/Intuit for preparation) and may engage independent contractors (1099 preparers) to perform work under our supervision. All Services are provided only in the United States.

 

3. Client Eligibility and Responsibilities

  • Eligibility: You represent that you are at least 18 years old and legally able to enter into these Terms.

  • Accurate information: You must provide complete, accurate, and timely information and documentation (including Social Security numbers, tax documents, and identity verification) necessary for us to perform Services. You are responsible for the accuracy of all information you submit.

  • Deadlines and cooperation: You must respond to requests, provide documents, and cooperate with us in a timely manner to meet filing deadlines. We are not responsible for missed deadlines caused by your failure to provide required information.

  • Authorization: You authorize SmoothFile and its authorized personnel and vendors to prepare and file tax returns and to communicate with tax authorities on your behalf as necessary to provide Services.

  • No minors: You confirm that you are not submitting information for a minor under 13 and that you will not provide personal data for children unless permitted by law and our intake procedures.

 

4. Engagement, Fees, and Payment

  • Engagement: Our engagement begins when you accept an engagement letter, sign an intake form, or otherwise authorize Services. The engagement letter or intake form will describe the scope, fees, and any special terms for the engagement.

  • Fees: Fees are based on the scope of Services, complexity, and time required. Fees for Services are due as stated in your engagement letter or at the time of service. We may require deposits for certain engagements.

  • Payment methods: We accept payments through the methods described in your engagement materials. Payment processors are third‑party vendors and are subject to their own terms and privacy practices.

  • Refunds and disputes: Refunds, if any, are handled in accordance with the engagement letter. If you dispute a charge, contact us at info@smoothfiletax.com promptly so we can attempt to resolve the issue.

 

5. Scheduling, Cancellations, and No‑Shows

  • Scheduling: Appointments may be scheduled through our website, scheduling tools, or by contacting us directly.

  • Cancellations: Cancellation and rescheduling policies will be provided in your engagement materials or appointment confirmation. Repeated cancellations or no‑shows may result in additional fees or termination of Services.

  • Late submissions: If you provide required documents after agreed deadlines, additional fees may apply and we may not be able to meet filing deadlines.

 

6. Use of Third Parties and Contractors

We may use third‑party vendors and independent contractors to provide parts of the Services. These parties are authorized to access only the information necessary to perform their tasks and are contractually required to maintain confidentiality and security. You consent to such disclosures as necessary to provide Services.

 

7. Confidentiality and Data Security

  • Confidentiality: We treat client information as confidential and will not disclose it except as required by law, as necessary to provide Services, or as described in our Privacy Policy.

  • Security: We implement administrative, technical, and physical safeguards to protect personal information. However, no system is completely secure; we cannot guarantee absolute security of electronic transmissions or storage. By using our Services you acknowledge this limitation.

  • Data retention: We retain client records in accordance with IRS rules and applicable law. After required retention periods, we will securely delete or destroy personal information in accordance with our procedures.

 

8. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of SmoothFile or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent, except as necessary to use the Services.

  • Client representations: You represent that the information you provide is true, accurate, and complete to the best of your knowledge.

  • No guarantees: While we will use professional care and reasonable skill, we do not guarantee specific tax outcomes, refunds, or audit results. Any estimates or projections are not guarantees.

 

10. Disclaimers

To the fullest extent permitted by law, SmoothFile provides Services “as is” and disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant uninterrupted or error‑free access to our website or portals.

 

11. Limitation of Liability

To the maximum extent permitted by law, SmoothFile’s total liability for any claim arising out of or related to these Terms or the Services will not exceed the fees you paid to SmoothFile for the specific Services giving rise to the claim. In no event will SmoothFile be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

 

12. Indemnification

You agree to indemnify, defend, and hold harmless SmoothFile, its owners, employees, contractors, and agents from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your negligence, or your provision of inaccurate or incomplete information.

We may suspend or terminate Services or access to our website at any time for conduct that we believe violates these Terms or is harmful to other users, our business, or third parties. Termination does not relieve you of any payment obligations incurred prior to termination.

These Terms are governed by the laws of the State of Arizona without regard to conflict‑of‑law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the state or federal courts located in Pima County, Arizona, and you and SmoothFile consent to personal jurisdiction and venue there.

 

17. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website with a new effective date. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.

 

18. Severability and Waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Failure to enforce any right or provision under these Terms will not constitute a waiver of such right or provision.

 

19. Entire Agreement

These Terms, together with any engagement letter, intake form, and our Privacy Policy, constitute the entire agreement between you and SmoothFile regarding the Services and supersede all prior agreements and understandings.
